Health Care Transactional
Informed by the highly complex regulatory and economic
environment in which health care organizations currently operate —
and drawing on the resources and expertise of our large and
sophisticated antitrust, taxation and other practice areas — the
Health Care Transactions practice furnishes a full range of
corporate and transactional advice to our health care
clients. We utilize an integrated approach involving lawyers
who spend a majority of their practice focused on the health care
industry.
We approach mergers and acquisitions in the health care industry
with a unique combination of business focus and understanding, as
well as a thorough understanding of the regulatory environment.
We are frequently called upon to assist clients in their efforts
to effectively compete and grow their businesses through corporate
development activities. Our role in these activities includes
business and strategic planning, structure, design and
implementation across all segments of the health care industry.
We regularly handle sophisticated transactions, including
mergers, takeovers, stock and asset acquisitions, affiliations,
joint ventures, development of accountable care organizations and
other integration activities. In addition, we regularly
provide both regulatory and transactional counsel to private equity
and venture capital funds, lenders and other financial services
firms in connection with their investments and other health
care-focused activities.
Our antitrust lawyers, as part of our Health Care Transactions
team, handle issues relating to exclusive provider contracts,
medical staff memberships, volume purchasing arrangements,
certificate of need activities, hospital-physician joint ventures,
hospital mergers and affiliations, physician mergers and
affiliations, and managed care contracting arrangements.
