Marci Rose Levine

Partner

Marci Levine is a partner with SNR Denton's Health and Life Sciences sector team and is a practice leader for the health care team. She has extensive corporate experience representing a broad range of health care organizations, including hospitals and health systems, physician practices, managed care organizations, group purchasing organizations, trade associations, and pharmaceutical and medical device manufacturers.

Marci provides counsel to private equity firms, venture capitalists and other organizations in the financial services sector that are investing in the health care industry. On behalf of these organizations, Marci has structured, negotiated and documented various corporate transactions, including mergers, acquisitions, affiliations, joint ventures, debt financing arrangements and health facilities development.

She also advises clients with respect to a wide range of contracting practices, such as physician recruitment and employment, medical directorships, managed care contracting, and management services arrangements.

Representative Experience

  • Participated in comprehensive due diligence review in connection with a multibillion-dollar acquisition in the dialysis products market.
  • Conducted regulatory due diligence, negotiating key deal terms and interfacing with federal and state regulators on behalf of a private equity firm investing in a managed care organization.
  • Participated in the development of a hospital/physician joint venture heart hospital, including preparing the confidential private placement memorandum for physician investors.
  • Assisted a hospital in structuring affiliation with a large multispecialty medical group (100 physicians), including the extension of a subordinated loan facility to the medical group to satisfy the solvency requirements of its provider-sponsored HMO and the negotiation of equity participation by the hospital in the medical group.
  • Conducted extensive due diligence in connection with the acquisition of an insolvent women's hospital by a regional health system.
  • Prepared comprehensive hospital contracting policies and template contracts related to physician recruitment and relocation, medical directorships, hospital/physician joint ventures and other personal services arrangements.
  • Structured buy-ins into and separations from physician practice groups.

  • Marci was recognized in 2007 by Nightingale's Healthcare News as one of the nation's "Outstanding Young Healthcare Lawyers."
